Shoreline Swing Bylaws
Article I
Name
The name of this group is Shoreline Swing, herein called Shoreline Swing.
Article II
Purpose
Shoreline Swing is a not-for-profit society organized for the purpose of preserving and promoting social dance, primarily swing. The purpose is accomplished by creating a community of dancers, fostering workshops, holding practice sessions, and sponsoring dances open to the general public.
Article III
Membership
All persons interested in the purpose of the organization are elibible to become members of Shoreline Swing upon payment of dues. Shoreline Swing shall not discriminate against any person because of race, color, age, sex, or religion. Membership in good standing is required to vote on all questions coming before the membership, or to hold elective or appointed office. Membership dues and privileges are determined by the Board unless otherwise identified in these Bylaws.
Article IV
Meetings of the Membership
An annual meeting of the Membership shall be held the month of May for the presentation of yearly reports of the Officers and Board Members, introduction of candidates, and the transaction of new business.
Special meetings of the Membership may be called at the direction of the President, at the direction of the Board, or at the written request of at least 25% of the Membership. A majority vote of those voting is necessary to transact any business brought before the membership, including election of Officers, unless otherwise stated by these Bylaws.
Article V
Board of Directors
- The sole responsibility for all business matters, except those otherwise described herein, lies with the Board of Directors, which consists of the Officers and four (4) At-Large Directors. An Officer or Director shall serve for one year, or until the end of June, whichever comes first. A Member holding elective office, such as President, Vice President, Secretary, or Treasurer shall hold the same office on the Board of Directors. The Board may appoint interim Officers or Directors to fill uncompleted terms, and shall establish a Nominating Committee two (2) months prior to the annual meeting.
- The Board shall be enpowered to develop and implement operating policies and procedures within the framework of these Bylaws. A quorum of five members of the Board is needed to transact business at Board meetings.
- Any member of the Board may be removed from Office with cause, prior to the expiration of his or her term, after a reasonable notice and opportunity to be heard, either by a majority vote of the entire Membership or a three quarters (3/4) vote of the entire Board.
- The Board shall meet at least once each quarter.
Article VI
Officers
- The Officers of Shoreline Swing shall be President, Vice President, Secretary, and Treasurer. The term of Office is one year, or until the end of June, whichever comes first. Officers shall not serve more than three (3) consecutive terms in the same office, but may serve again after a lapse of one term. No officer shall hold more than one office concurrently. A person serving as an officer must continue to be a member in good standing. Relinquishment of membership shall be cause for automatic revocation of office held.
- The President shall be the executive officer responsible for the operation of the organization. He or she shall coordinate all organization activities, call and preside at meetings, nominate replacements for vacant Officer or Director positions, and assign the functions needed to discharge powers and responsibilities of the Board not otherwise assigned.
- The Vice President shall assume the duties of the President, should the President be incapacitated or otherwise unable to fulfill his or her duties, and shall have such powers and perform such duties as assigned to him or her by the President or the Board.
- The Secretary shall receive, maintain, and distribute the official correspondence, minutes, and archives of the Organization.
- The Treasurer shall have custody of the organization's funds, and shall disburse them and keep a full and accurate account of receipts and disbursements. The Treasurer shall advise the Board about the finances of the organization and prepare a summary of transactions, receipts, and disbursements for each regular Board meeting and a year-to-date financial report of operations for the annual meeting of the membership. The Treasurer shall also provide information to outside auditors, when requested by the Board.
Article VII
Amendments to the Bylaws
Amendments to these Bylaws may be made with one (1) month's written notice to Members; this notice must state the proposed changes. Comments and oppositions to the proposed changes by any Member shall be in writing to the Board. The comments and oppositions must be discussed at a meeting of the Board prior to a vote being taken. A three fourths (3/4) majority vote of the full Board is required for adoption of the proposed changes. The Board is the only body enpowered to change the Bylaws.
Article VIII
Special Notes Regarding Tax Exemption
- It is intended that Shoreline Swing be entitled to exemption from Federal Income Tax under Section 501.c(3) of the Internal Revenue Code and shall not be a private foundation as described in Section 501(a) of the Internal Revenue Code. Shoreline Swing shall not conduct, or participate in, any activity which would affect its status as a not-for-profit organization.
- No part of Shoreline Swing's assets or net earnings may inure to the benefit of private individuals. This does not preclude the payment of any reasonable fees for goods or services provided to the organization.
- In the event of dissolution of Shoreline Swing, the organization's assets shall be distributed to another like-minded not-for-profit organization, assigned by the Board, that is exempt from Federal Income Tax under section 501.c(3) of the Internal Revenue Code.
Article IX
General
The rules of procedure in Robert's Rules of Order, Revised shall govern Shoreline Swing in all cases in which they apply and are not in conflict with these Bylaws.
